Vitaslim - Terms and Conditions

Welcome to Vitaslim! These Terms and Conditions ("Terms") govern your use of the Vitaslim website, services, and programs (collectively, the "Services"). By creating an account, making a payment, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Description of Services

Vitaslim provides a comprehensive wellness program focused on weight management. Our Services include:

• Personalized meal plans.
• Customized exercise guides.
• Lifestyle coaching and support materials.
• Administrative coordination with our independent medical partner, Asher Med.

Our Role: Vitaslim is a wellness consulting and administrative service. We collect your information and payment, provide non-medical lifestyle guidance (meal and exercise plans), and act as a liaison to facilitate your connection with a licensed medical provider.

Vitaslim DOES NOT provide medical advice, diagnosis, treatment, or prescriptions.

2. Partnership with Asher Med

To provide you with a comprehensive program that may include prescription medication, Vitaslim has partnered with Asher Med, an independent medical practice.

• Separate Entity: Asher Med is a separate and independent legal entity from Vitaslim. Its licensed medical professionals are solely responsible for all medical services they provide.
• Medical Services: Asher Med’s services include, but are not limited to, conducting telehealth consultations, reviewing your medical history, determining your eligibility for prescription medication, and issuing prescriptions at their sole professional discretion.
• Patient-Provider Relationship: Your use of our Services will require you to establish a patient-provider relationship directly with Asher Med. You will be required to review and consent to Asher Med's separate Terms of Service, Privacy Policy, and Patient Consent Forms before any medical services are rendered.
• No Medical Guarantees: Vitaslim does not and cannot guarantee that Asher Med will prescribe any medication to you. This decision rests exclusively with the licensed professionals at Asher Med based on their medical judgment.

3. Consent to Share Information

By using our Services, you acknowledge and agree that the process is as follows:

1. You provide Vitaslim with your personal, payment, and health-related information.
2. You pay Vitaslim for the program package.
3. You expressly consent to Vitaslim securely sharing your personal and health information with Asher Med for the purpose of a medical evaluation.

The handling of your data is governed by our Privacy Policy. Vitaslim and Asher Med are committed to protecting your information in accordance with applicable laws, including the Health Insurance Portability and Accountability Act (HIPAA).

4. User Eligibility and Responsibilities

To use our Services, you represent and warrant that:

• You are at least 18 years of age.
• All information you provide to Vitaslim and Asher Med is truthful, accurate, and complete.
• You will promptly update your information if it changes.
• You will consult with your primary care physician before starting any new diet, exercise, or medication regimen.
• You understand that weight loss results are not guaranteed and vary based on individual effort, health status, and adherence to the program.

5. Payments and Fees

• Payment: All fees for Vitaslim program packages are due in advance of services being rendered. Payment authorizes us to initiate the service, which includes providing your information to Asher Med and developing your personalized plans.
• Refund Policy:
• Fees paid to Vitaslim are for our administrative services and the development of your meal and exercise plans. These fees are non-refundable once we have initiated the service by sharing your information with Asher Med or delivering your plans.
• If Asher Med determines that you are not a suitable candidate for prescription medication, the fees paid to Vitaslim for our administrative and lifestyle planning services remain non-refundable.
• Any fees related to the cost of medication or pharmacy services are separate and are governed by the policies of the respective pharmacy.

6. Medical Disclaimer

Vitaslim is not a medical organization, and our staff cannot give you medical advice or diagnosis. The content we provide, including all meal plans, exercise guides, and other information, is for informational purposes only. It is not intended to be a substitute for professional medical advice, diagnosis, or treatment.

Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or received from Vitaslim.

7. Intellectual Property

All content provided to you as part of the Services, including but not limited to text, graphics, logos, meal plans, and exercise guides, is the exclusive property of Vitaslim or its licensors and is protected by copyright and other intellectual property laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.

8. Termination

• By You: You may terminate your account at any time by contacting us. Termination will not entitle you to a refund for any fees already paid.
• By Vitaslim: We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

9. Limitation of Liability and Indemnification

To the fullest extent permitted by law, Vitaslim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

You agree to indemnify and hold harmless Vitaslim, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms. This includes any claims related to the medical services (or lack thereof) provided by Asher Med.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in Memphis, Tennessee.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any such change constitutes your acceptance of the new Terms.
